If you are looking to enforce a contract or defend yourself against a contract dispute, you need aggressive representation by an experienced lawyer at Rainey Law P.C.
When to call a lawyer
If any of these describe your situation, an early conversation is usually cheaper than the alternative.
- You are using a template pulled from another state or the internet
- A counterparty sent their paper and you are asked to sign as-is
- The agreement involves indemnity, IP ownership, or liability caps
- You are entering a multi-year or high-dollar commitment
- The same disputes keep recurring across customer agreements
Contracts that work under California law
Templates pulled from other states routinely fail here. California voids non-competes, restricts choice-of-law and out-of-state venue for California employees under Labor Code section 925, and treats several common indemnity and limitation-of-liability formulations differently than the state the template came from. San Diego companies buying from out-of-state vendors inherit those provisions unless someone reads for them.
We build contract sets San Diego businesses reuse — master services agreements, statements of work, vendor and reseller terms, NDAs, and employment paperwork — so the terms are consistent across the company and the exceptions are deliberate.
- Master services agreements and statements of work
- Vendor, supplier, distribution, and reseller agreements
- NDAs and confidentiality programs that hold up in California
- Commercial lease and facility agreement review
San Diego questions we hear most
- Can a contract with a San Diego employee choose another state's law?
- Generally no. Labor Code section 925 bars requiring a California employee to litigate outside California or apply another state's law, unless the employee was individually represented by counsel in negotiating that term.
- How fast can you turn around a contract review?
- Most standard commercial agreements are reviewed within a few business days; clients on a monthly counsel arrangement typically get same-week turnaround.
