Starting a nonprofit in California runs through three different agencies and a governance layer most founders underestimate. You incorporate with the Secretary of State, obtain federal exemption from the IRS, obtain state exemption from the Franchise Tax Board, and register with the Attorney General's Registry of Charities before soliciting a dollar. Each has its own form, deadline, and consequence for missing it — and the exemption application depends heavily on how the articles and bylaws were drafted at the start.
File Articles of Incorporation for a nonprofit public benefit corporation with the California Secretary of State. The form itself is short, but the substance that matters is the purpose clause and the dissolution clause. The IRS requires the organizing document to limit activities to exempt purposes and to dedicate assets to another exempt organization on dissolution.
Generic articles filed without that language are the most common reason a 501(c)(3) application stalls. Fixing it later means amending the articles and refiling — avoidable with an hour of attention at the outset.
Obtain an EIN, then apply for federal exemption on Form 1023 or, if you qualify, the streamlined Form 1023-EZ. The full 1023 requires a narrative of activities and a budget; the quality of that narrative shapes both the outcome and the timeline.
For California, file Form 3500A once the IRS determination letter arrives, which is faster than the standalone Form 3500. Without state exemption, the nonprofit remains subject to the minimum franchise tax.

Request a consultationRegister with the Attorney General's Registry of Charities and Fundraisers within 30 days of first receiving charitable assets, and renew annually with Form RRF-1. Soliciting while delinquent can lead to enforcement and can jeopardize state exemption.
If you use commercial fundraisers or run charitable sales promotions, additional contracts and filings apply. Donor communications also need substantiation language — written acknowledgments for gifts of $250 or more, and quid pro quo disclosures where the donor receives something in return.
Treating volunteers as free labor without analyzing whether they are performing work that requires employee classification. Nonprofit status does not create a volunteer exception for ordinary commercial work.
Founder control problems are the second recurring issue. A board that exists on paper but never meets undermines both the exemption and the organization's ability to attract institutional funding, which almost always diligences governance.
Form 1023-EZ is often processed within a few weeks. The full Form 1023 commonly takes several months, and longer if the IRS sends development questions about the activity narrative.
Yes, if the compensation is reasonable and approved by disinterested directors following a documented process. California also limits how much of the board may be compensated persons.
The filings can be done without one, but the articles language, bylaws, conflict policy, and activity narrative are where applications fail — and those are the parts worth reviewing.
Yes. Revenue related to the exempt purpose is fine; unrelated business income is taxable and, if it dominates operations, can threaten exemption.

Without non-competes, California companies protect information rather than people. That takes NDAs that survive scrutiny, access controls, and a documented offboarding process.
A judgment is permission to collect, not payment. These are the tools California gives a creditor, in the order they usually work best.
